CTC MEDIA ANNOUNCES BOARD AND MANAGEMENT CHANGES

Moscow, Russia December 15, 2011 – CTC Media, Inc. (“CTC Media” or the “Company”) (NASDAQ: CTCM), Russia’s leading independent media company, today announced that Angelo Codignoni has been elected as Co-Chairman of the Board of Directors and that Dmitry Lebedev has been appointed as a new member of the Board. Mr. Lebedev takes the Board seat held by Peter Aven, who has stepped down from the Board. In addition, Anton Kudryashov has stepped down as Chief Executive Officer effective as of December 15, 2011, based on mutual agreement. He has been replaced on an interim basis by the Company’s Chief Financial Officer, Boris Podolsky, until a permanent replacement is appointed.

CTC MEDIA TO LAUNCH ITS CTC-INTERNATIONAL CHANNEL IN THE BALTICS

Viasat Broadcasting is a subsidiary of Modern Times Group, which owns 38.2% of CTC Media.

In the third quarter of 2011, CTC/TV DIXI audience share in its target “all 6-54 Urban” demographic averaged 6.9%, which is more than 3 times higher than 2.0% in the year-ago period and is the highest share for the last three years. In September 2011, the target audience share reached 6.5%, which exceeds September 2010 results by 4.1 percentage points. Moreover, for the first time since the start of cooperation between CTC Media and CTC/TV DIXI, the channel has become the third most watched broadcaster in Moldova (up from the eighth most watched in 2010).

SUBSCRIPTIONS TO TOP CTC MEDIA CONTENT TO BE OFFERED ON BEELINE TV

Beeline viewers will also have access to the most popular formats of the DTV channel, which will start broadcasting under the new “Peretz” brand in October 2011. DTV CHANNEL IS REBRANDED TO PERETZ

In new season the channel will have a new logo and brand name – “PERETZ” (an unconventional name that has multiple connotations in Russian, including “pepper”, “spice”, “hot shot”, “dude”). The rebranding will be accompanied by radical changes in the programming grid, including launches of fresh new formats. The shows will be hosted by movie, TV and Internet celebrities and the channel will be “re-born” with an edgy, funny and topical television theme that is intended to expand and improve the quality of its audience.

MTG’S SHAREHOLDERS' AGREEMENT WITH TELCREST AND CTC MEDIA COMES INTO FORCE

Modern Times Group MTG AB (publ.) (‘MTG’ or ‘the Group’), the international entertainment broadcasting group, has today noted the Schedule 13D filing made by Alfa CTC Media Holdings (‘Alfa’), with the US Securities and Exchange Commission. The filing states that the sale of Alfa’s 39,548,896 shares in CTC Media, Inc. (‘CTC Media’), or 25.2% of the issued and outstanding shares in the company, to Telcrest Investments Limited (‘Telcrest’), has closed. The new shareholders’ agreement, which the Group signed with CTC Media and Telcrest on 20 May, 2011, has therefore come into force.
